XIOMEX ACADEMY TERMS AND CONDITIONS

Educational and training services provided by Miralles SC FZ-LLC

These Terms govern the purchase and use of Xiomex Academy educational programs, digital content, live sessions, community access, support and related training services. Xiomex Academy is an educational service. It is not a broker, investment firm, asset manager or financial adviser.

1. Provider

Miralles SC FZ-LLC, incorporated in Ras Al Khaimah Economic Zone, United Arab Emirates, provides the Xiomex Academy educational services described in these Terms.

2. Acceptance of These Terms

By purchasing, enrolling in, accessing or using a Xiomex Academy program, the User agrees to these Terms and to any specific commercial terms displayed at checkout or expressly communicated before purchase.

If the User does not agree to these Terms, the User should not purchase or access the Services.

3. Eligibility

Users must be at least 18 years old and legally capable of entering into a binding agreement.

Xiomex Academy may refuse or terminate access where the User does not satisfy applicable eligibility requirements.

4. Nature of the Educational Services

Xiomex Academy provides education and training related to subjects that may include financial markets, trading concepts, market analysis, risk management, trading strategy development, trading technology, automation and artificial intelligence applied to analytical workflows.

Depending on the program purchased, the Services may include prerecorded lessons, live group sessions, educational community access, support, practical exercises, templates, educational documentation, software demonstrations and access to third-party platforms.

The exact scope, duration and delivery format of each program will be the scope described on the relevant sales page, checkout page, order confirmation or written offer accepted by the User.

5. Educational Purpose Only

All content and Services provided through Xiomex Academy are for educational and informational purposes only.

Nothing provided through Xiomex Academy constitutes investment advice, financial advice, personalised trading advice, portfolio management, brokerage, execution of transactions, custody of client assets or a recommendation to buy, sell or hold any financial instrument.

Miralles SC FZ-LLC does not act as a broker, investment adviser, financial intermediary, asset manager or trading venue through Xiomex Academy.

6. No Investment or Fiduciary Relationship

Participation in Xiomex Academy does not create an advisory, fiduciary, brokerage, portfolio-management or investment-management relationship between Miralles SC FZ-LLC and the User.

Users remain solely responsible for their own financial decisions and for obtaining independent professional advice where appropriate.

7. No Guarantee of Financial or Trading Results

Miralles SC FZ-LLC does not guarantee any specific financial, professional, educational or trading result.

Participation in a Xiomex Academy program does not guarantee profitability, income, financial returns, successful trading, employment, professional opportunities, access to capital, access to any third-party funded account, or achievement of any particular outcome within any particular period.

Any examples, demonstrations, testimonials, case studies or historical results are illustrative only and must not be interpreted as promises, guarantees or forecasts of future performance.

8. Financial Risk

Trading and investing involve risk, including the possible loss of some or all capital used.

Users should independently assess whether any trading or investment activity is suitable for their own circumstances and should not trade with funds they cannot afford to lose.

Past performance is not a reliable indicator of future results.

9. Historical, Simulated and Hypothetical Examples

Historical results, simulations, backtests, demonstrations and hypothetical examples may be used for educational purposes.

Such examples may not reflect real trading conditions and do not represent a guarantee or prediction of future performance. Real-world results may differ materially because of market conditions, execution, fees, slippage, liquidity, user behaviour and other factors.

10. Artificial Intelligence and Automated Tools

Some programs may teach, demonstrate or provide access to artificial intelligence or automated analytical tools.

AI-generated outputs may be inaccurate, incomplete, outdated or unsuitable for a particular purpose. Automated tools may also fail or behave differently in changing market conditions.

Users must independently review any AI or automated output before relying on it. Such outputs do not constitute financial or investment advice.

11. User Responsibility

The User is solely responsible for any decision to trade or invest outside the educational environment, including the choice of broker, exchange, trading platform, capital allocation, leverage, strategy and risk level.

Miralles SC FZ-LLC does not control or supervise the User's personal trading account or investment decisions.

12. Program Access

Access begins according to the conditions displayed at checkout or communicated during enrolment.

Program access may include recorded content, live sessions, community access, educational support, documents, platform access and other educational resources.

Access duration may vary by program. Any fixed access period ends when that period expires unless otherwise stated.

13. Live Sessions and Educational Support

Where live sessions or support are included, dates, instructors, delivery platforms or session times may reasonably change for operational reasons.

Miralles SC FZ-LLC may replace an instructor or reschedule a session where reasonably necessary, while seeking to preserve the overall educational value of the purchased program.

Live sessions may be recorded where permitted by law and where appropriate notice is provided.

14. Community Access and Conduct

Users may receive access to private communities or communication channels associated with the training program.

Users must not harass other participants, distribute unlawful material, publish private information about others, spam the community, impersonate another person, solicit users for unauthorised commercial purposes, or redistribute Xiomex proprietary materials.

Miralles SC FZ-LLC may moderate community spaces and may remove content or suspend access in the event of serious or repeated breaches.

15. Account Security

Access credentials are personal and may not be shared, transferred or resold.

Users are responsible for maintaining the confidentiality of their credentials and for promptly notifying Xiomex of suspected unauthorised access.

16. Fees and Commercial Terms

The applicable price is the price accepted by the User at checkout or through an expressly accepted written offer.

Prices may vary depending on the program, country, currency, promotion, payment method or payment arrangement.

The specific commercial terms displayed and accepted at checkout form part of the agreement governing that purchase.

17. Payment Processing

Payments may be processed by third-party providers, including Hotmart/HotPay or other payment processors used by Miralles SC FZ-LLC.

Third-party payment providers may apply their own terms relating to payment processing, instalments, fraud prevention or financing.

Miralles SC FZ-LLC is not responsible for the independent operation of third-party payment infrastructure, except to the extent required by applicable mandatory law.

18. Instalments and Third-Party Financing

Where instalments or financing are offered through a third party, the specific terms accepted by the User with that third party will apply.

Unless expressly stated otherwise, Miralles SC FZ-LLC does not act as a lender or financing institution.

The User remains responsible for complying with the payment obligations accepted through the relevant provider.

19. Monthly Access Arrangements

Where a program is offered through recurring monthly access payments, each payment entitles the User to access the applicable educational services for the corresponding billing period.

If a monthly payment is not made when due, access to educational materials, community, live sessions, support and associated services may be suspended until payment is restored, subject to applicable mandatory consumer rights.

Future access is conditional on continued payment where the program has been sold as a recurring monthly service rather than as third-party financing.

20. Cancellation, Withdrawal and Mandatory Consumer Rights

Nothing in these Terms removes any consumer right that cannot lawfully be excluded.

Where applicable law grants a statutory withdrawal, cancellation or cooling-off right, Miralles SC FZ-LLC will respect that right.

Where digital content or services begin immediately after purchase, any consent or acknowledgement required by applicable law regarding immediate performance or the effect on withdrawal rights should be obtained through the checkout process.

21. Refunds

Refund eligibility is governed by applicable mandatory law, the conditions displayed at checkout and any specific refund terms expressly communicated before purchase.

Nothing in these Terms limits statutory consumer rights.

Miralles SC FZ-LLC may request reasonable information necessary to review and process a refund request.

22. Suspension and Termination

Miralles SC FZ-LLC may suspend or terminate access where a User fails to make an applicable payment, shares credentials, redistributes proprietary material, commits fraud, abuses other participants, materially breaches these Terms or uses the Services unlawfully.

Where reasonably possible and appropriate, the User will be informed of the reason for suspension or termination.

23. Intellectual Property

All training materials, videos, documents, presentations, methodologies, templates, prompts, recordings, course structures, software-related educational materials and branding provided through Xiomex Academy are owned by or licensed to Miralles SC FZ-LLC unless expressly stated otherwise.

Purchase of a program grants the User a limited, personal, non-exclusive, non-transferable and revocable right to use the materials solely for personal educational purposes.

24. Prohibited Redistribution

Without prior written authorisation, Users may not reproduce, resell, sublicense, publicly upload, redistribute or commercially exploit Xiomex Academy materials, recordings, documents, credentials or substantial portions of the program.

Users may not use substantial portions of the materials to create a competing commercial training product.

25. Third-Party Services

The Services may rely on third-party platforms and providers such as Hotmart, Skool, WhatsApp, videoconferencing services, payment processors, AI providers or other technical infrastructure.

Third-party providers operate under their own terms and privacy policies. Miralles SC FZ-LLC is not responsible for failures caused exclusively by an independent third-party service, subject to applicable mandatory law.

26. Brokers, Exchanges and Trading Platforms

Any broker, exchange or trading platform selected or used by the User is independent from Xiomex Academy unless expressly stated otherwise.

Miralles SC FZ-LLC is not responsible for execution, spreads, commissions, slippage, outages, withdrawals, account restrictions, regulatory actions or losses arising from the User's use of an independent third-party trading platform.

27. Testimonials and User Experiences

Testimonials, reviews and descriptions of individual user experiences reflect the experience of those individuals only.

They must not be interpreted as typical results, guaranteed outcomes, financial promises or forecasts of future performance.

28. Availability

Miralles SC FZ-LLC will use reasonable efforts to maintain access to the educational Services but does not guarantee uninterrupted or error-free availability.

Temporary interruptions may occur because of maintenance, infrastructure failures, third-party outages, cybersecurity events or circumstances outside reasonable control.

29. Limitation of Liability

To the maximum extent permitted by law, Miralles SC FZ-LLC is not liable for trading or investment losses arising from decisions independently made by the User.

To the maximum extent permitted by law, Miralles SC FZ-LLC is not liable for indirect, incidental or consequential losses arising from reliance on educational examples, simulations, demonstrations or AI-generated outputs.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability arising from fraud, wilful misconduct or mandatory consumer protections.

30. Privacy

Personal data is processed in accordance with the applicable Xiomex Privacy Policy.

Where Users access independent third-party services, those providers may also process personal data under their own privacy policies.

31. Complaints and Support

Users may submit contractual or service-related complaints through the official Xiomex support channels or by contacting legal@xiomex.com.

Miralles SC FZ-LLC will seek to respond within a reasonable period.

32. Changes to the Services

Miralles SC FZ-LLC may reasonably update or modify training materials, instructors, schedules, delivery methods, platforms or educational resources where necessary to maintain, update or improve the program.

Material changes that substantially reduce an already purchased service remain subject to applicable mandatory consumer law.

33. Changes to These Terms

These Terms may be updated from time to time.

The Terms applicable at the time of purchase will generally govern that purchase, except where a change is required by law or expressly accepted by the User.

Material changes affecting an existing purchased service will be communicated where required by applicable law.

34. Governing Law

These Terms are governed by the laws of the United Arab Emirates, subject to any mandatory consumer rights applicable to the User.

Nothing in these Terms prevents a consumer from exercising rights that cannot lawfully be waived under the law applicable to that consumer.

35. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in effect to the maximum extent permitted by law.

36. No Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision or of any other right.

37. Assignment

The User may not assign or transfer rights under these Terms without prior written consent.

Miralles SC FZ-LLC may assign its rights and obligations as part of a corporate restructuring, financing, merger, acquisition or transfer of the relevant business, subject to applicable law.

38. Entire Agreement

These Terms, together with the applicable checkout terms, order confirmation, program description, Privacy Policy and any specific written commercial terms accepted by the User, constitute the agreement governing access to the relevant Xiomex Academy program.

39. Contact

Xiomex Academy provides training and educational services. It does not promise or guarantee financial returns, profitability or any specific trading outcome.
